OVERVIEW

Welcome to Splashis. "We", "us" and "our" mean Splashis LLC, a limited liability company registered in the State of Wyoming, United States, at 30 N Gould St, Ste R, Sheridan, WY 82801 ("Splashis"). We operate this store and website, including all related content, features, tools, products and services (the "Services"). Splashis is powered by Shopify.

These Terms of Service ("Terms"), together with the policies linked below, describe your rights and responsibilities when you use the Services. Please read them — they include warranty disclaimers and limits on our liability.

These Terms should be read together with our Shipping Policy, Returns & Refunds Policy and Privacy Policy. Those policies form part of these Terms. If anything in these Terms conflicts with the Returns & Refunds Policy or the Shipping Policy, those policies win — we will not use the general wording here to take away something we promised you there.

By visiting or using the Services you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

SECTION 1 — ACCESS AND ACCOUNT

By agreeing to these Terms you confirm that you are at least the age of majority where you live, and that you consent to any minor dependents using the Services on devices you own or manage.

To use the Services you may be asked for information such as your email address and billing, payment and shipping details. You confirm that the information you give us is correct, current and complete, and that you have the right to provide it.

You are responsible for keeping your account credentials secure and for activity on your account. You may not transfer, sell, assign or license your account to anyone else.

SECTION 2 — OUR PRODUCTS

We work to represent our products accurately. Colours and appearance can still differ from what you see, because screens and device settings vary. We cannot guarantee that a product's appearance on your screen exactly matches the item.

Product descriptions may change at any time. We may discontinue any product, and may limit quantities offered to any person, region or jurisdiction.

If a product is not as described, or does not match its images in a way that matters, you are covered by our Returns & Refunds Policy and by your statutory rights.

SECTION 3 — ORDERS AND CANCELLATION

When you place an order you are making an offer to buy. We may accept or decline any order. Your order is accepted when we confirm it, and we must receive your payment first. If we decline, change or cancel an order we will try to reach you using the email, address or phone number you gave us.

Cancelling: you can cancel for a full refund at any time before your order is dispatched — email support@splashis.com with the subject line "CANCEL ORDER" and your order number. Most orders dispatch within 1–3 business days.

If your order has already shipped, you are still covered by our 30-day refund policy. Customers in the United Kingdom and European Union have a separate statutory right to cancel within 14 days of delivery. Both are set out in our Returns & Refunds Policy.

Returns and refunds are handled solely in accordance with that policy and your statutory rights.

You confirm that your purchases are for your own personal or household use, and not for commercial resale or export.

SECTION 4 — PRICES, TAXES AND DUTIES

Prices, discounts and promotions can change without notice. The price you pay is the price shown when you place your order, as confirmed in your order confirmation email. Posted prices exclude taxes that may be added at checkout.

Import duties and customs charges are not included in our prices and are your responsibility. Because your order ships internationally, your own country may charge import duty, VAT, GST or clearance fees on arrival. These are set by your government, not by us, and we cannot calculate or collect them at checkout. Section 5 of our Shipping Policy explains this in full.

Prices here may differ from prices in other stores. Promotions may carry their own terms; where those conflict with these Terms, the promotion terms govern that promotion.

You agree to give us current, complete and accurate payment and account information, and to keep it up to date. You confirm that any payment method you use is yours to use, that charges will be honoured, and that you will pay the posted price including applicable taxes.

SECTION 5 — SHIPPING, DELIVERY AND WHERE ORDERS SHIP FROM

Splashis does not hold stock. Orders ship directly from our manufacturing and fulfilment partners, most of whom are based in China. This is why delivery takes longer than a domestic order, and why import duties may apply. We tell you before you buy rather than after.

Standard shipping is free to every destination we serve; the full list is in our Shipping Policy. Orders are dispatched within 1–3 business days.

All delivery times are estimates, not guarantees. We are not responsible for delays caused by carriers, customs processing, or events outside our control. If your order does not arrive within the estimated window, contact us and we will investigate with the carrier; if it cannot be located, we refund you in full.

Risk of loss passes to you on delivery. If your order arrives damaged, faulty or incorrect, contact us within 7 days with photos and we will replace or refund it — see the Returns & Refunds Policy.

SECTION 6 — INTELLECTUAL PROPERTY

The Services — including trademarks, text, images, graphics, video, audio, and the design, selection and arrangement of them — are owned by Splashis, its affiliates or licensors, and protected by US and foreign intellectual property law. Customer reviews remain the property of the customers who wrote them; we display them under the licence in Section 11.

These Terms allow you to use the Services for your own personal, non-commercial use. You must not reproduce, distribute, modify, create derivative works from, publicly display, republish, store or transmit material from the Services without our written consent. Nothing here grants you a licence under any patent, trademark, copyright or other intellectual property of Splashis, Shopify or any third party. All rights not expressly granted are reserved.

Splashis names, logos, product names, designs and slogans are our trademarks or those of our affiliates or licensors, and may not be used without our written permission. Shopify's marks belong to Shopify. All other marks belong to their owners.

SECTION 7 — OPTIONAL THIRD-PARTY TOOLS

The Services may give you access to tools provided by third parties, which we do not monitor or control. These are provided "as is" and "as available", without warranties or endorsement of any kind, and we have no liability arising from your use of them. Using them is at your own risk, and you should read the relevant third party's terms.

New features we add in future form part of the Services and are covered by these Terms.

SECTION 8 — THIRD-PARTY LINKS

The Services may link to, or embed functionality from, websites operated by third parties. We do not examine or evaluate their content and are not responsible for it. If you leave the Services to visit them, you do so at your own risk, and we are not liable for anything arising from your dealings with them. Read their policies before transacting with them, and direct any complaints about their products or services to them.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Splashis is powered by Shopify, but every sale you make in our store is made directly with Splashis. Shopify is not responsible for any aspect of a sale between you and Splashis, including any injury, damage or loss arising from products purchased. You release Shopify and its affiliates from claims, damages and liabilities arising from your transactions with Splashis. Nothing in this section limits any rights you have against Splashis.

SECTION 10 — PRIVACY

Personal information we collect through the Services is handled in accordance with our Privacy Policy. Some information is also subject to the Shopify Consumer Privacy Policy.

Because the Services are hosted by Shopify, Shopify collects and processes information about your use of them. Information you submit may be transmitted to Shopify and to third parties located in other countries — including our fulfilment partners in China, who receive your name, delivery address and phone number in order to ship your order. Our Privacy Policy explains this and the safeguards we use.

SECTION 11 — REVIEWS AND FEEDBACK

If you submit ideas, suggestions, reviews, proposals or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display it in any medium for any purpose, including commercially — for example to operate, evaluate, improve and promote the Services. You keep ownership of what you write.

We do not pay for reviews, offer incentives in exchange for them, or publish reviews written by anyone who has not bought the product from us. If you were given anything in connection with a review, you must say so in the review itself.

You confirm that: you own or have the rights to your Feedback; and your Feedback complies with these Terms. We are not obliged to keep Feedback confidential, to pay for it, or to respond to it.

We may — but need not — monitor, edit or remove Feedback we consider unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable, or that infringes anyone's rights or breaches these Terms. Removing a negative review simply because it is negative is not something we do.

Your Feedback must not infringe anyone's rights, contain unlawful, abusive or obscene material, or contain malware. Do not use a false email address or impersonate anyone. You are responsible for your Feedback and its accuracy.

SECTION 12 — ERRORS AND INACCURACIES

Occasionally information in the Services may contain typographical errors, inaccuracies or omissions relating to descriptions, pricing, promotions, shipping charges, transit times or availability. We may correct errors and change or update information, and may cancel an order placed against materially incorrect information, including after you have submitted it. If we cancel on this basis, we refund you in full and promptly.

SECTION 13 — PROHIBITED USES

You may use the Services for lawful purposes only. You may not use them: for any unlawful or malicious purpose; to break any law or regulation; to infringe anyone's intellectual property; to harass, abuse, defame, intimidate or harm any person; to transmit false or misleading information; to send spam or unsolicited promotional material; to impersonate anyone; or to restrict or inhibit anyone else's use of the Services.

You also agree not to: upload viruses or malicious code; reproduce, duplicate, sell or exploit any part of the Services; collect or track other people's personal information; phish, pharm, pretext, spider, crawl or scrape; or interfere with or circumvent security features of the Services or any related website.

We may suspend, disable or terminate your account if we determine that you have breached these Terms.

SECTION 14 — TERMINATION

We may terminate this agreement or your access to the Services at our discretion, and you remain liable for amounts owed up to the date of termination. Termination does not affect any order already accepted, or your right to a refund on it under our Returns & Refunds Policy.

These sections survive termination: Intellectual Property, Reviews and Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and any other provision that by its nature should survive.

SECTION 15 — DISCLAIMER OF WARRANTIES

Information in the Services is provided for general information only. We do not warrant that it is accurate, complete or useful, and any reliance you place on it is at your own risk.

EXCEPT AS EXPRESSLY STATED BY SPLASHIS, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE.

This disclaimer does not affect, and nothing in these Terms limits:

• our 30-day refund promise, including the keep-the-item refund on orders under $75, as set out in the Returns & Refunds Policy;
• your statutory rights as a consumer. If you are in the United Kingdom or European Union, goods must be as described, of satisfactory quality and fit for purpose under the Consumer Rights Act 2015 and equivalent EU law. Those rights cannot be excluded and we do not attempt to exclude them;
• any rights you have under mandatory consumer law where you live.

Some jurisdictions do not allow certain disclaimers, so parts of the above may not apply to you.

SECTION 16 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, SPLASHIS AND OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS AND LICENSORS — AND THOSE OF SHOPIFY — SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA OR REPLACEMENT COSTS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT PURCHASED THROUGH THEM.

WHERE LIABILITY CANNOT LAWFULLY BE EXCLUDED, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; defective products under applicable product liability law; or any other liability that cannot be excluded or limited by law. Your statutory consumer rights are unaffected.

SECTION 17 — INDEMNIFICATION

You agree to indemnify and hold harmless Splashis, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from losses, damages, liabilities or claims — including reasonable legal fees — payable to a third party and arising out of (1) your breach of these Terms, (2) your violation of any law or third-party right, or (3) your access to and use of the Services. This applies only to the extent the claim results from your own deliberate or negligent act or omission.

We will notify you of any such claim. A delay in notifying you does not relieve you of your obligations unless you are materially prejudiced by it. We may control the defence and settlement at your expense, but will not settle a claim imposing non-monetary obligations on you without your consent, which you will not unreasonably withhold. You will cooperate in the defence.

SECTION 18 — SEVERABILITY

If any provision of these Terms is found unlawful, void or unenforceable, it will be enforced to the fullest extent permitted and the unenforceable part severed. The remaining provisions stay in force.

SECTION 19 — WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision is not a waiver of it.

These Terms, together with our Shipping Policy, Returns & Refunds Policy and Privacy Policy — which are incorporated into and form part of these Terms rather than being superseded by them — make up the entire agreement between you and us regarding the Services, replacing earlier agreements and communications on the same subject, including previous versions of these Terms.

Ambiguities will not be construed against the drafting party.

SECTION 20 — ASSIGNMENT

You may not transfer or assign these Terms or your rights and obligations under them without our written consent, and any attempt to do so is void. We may transfer or assign these Terms and our rights and obligations, provided doing so does not reduce your rights under them.

SECTION 21 — GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, and disputes will be brought in the state and federal courts of Wyoming, to whose jurisdiction you and Splashis consent.

Consumers: if you are a consumer resident in the United Kingdom, the European Union, or anywhere else whose law gives you the right to bring proceedings locally, this section does not take that right away. You keep the protection of the mandatory consumer laws of the country where you live, and you may bring proceedings in your local courts. We will bring any claim against a consumer only in the courts of the country where they live.

SECTION 22 — HEADINGS

Headings are for convenience only and do not affect the meaning of these Terms.

SECTION 23 — CHANGES TO THESE TERMS

The current version of these Terms is always on this page. We may update them by posting a revised version, and will update the "Last updated" date. Where a change is material, we will notify you as required by law, and the change takes effect on the date given in that notice. Changes do not apply retroactively to orders already placed. Continuing to use the Services after a change takes effect means you accept it.
